Corporate contracts

Need help with writing 3 contracts as per indian law. we are a startup yet to start operations and Pvt Ltd firm. I need legal contracts for following. Detailed guidelines and clauses would be provided once selected. 1. Equity contract for COO - Currently it is a Pvt Ltd firm and 100% equity rests with me and my family. We decided to give 10% equity to COO. Salary terms will also be mentioned in the contract. And equity can be bought back if he does not meet his revenue targets, which should be mentioned in the contract. Then standard clauses like confidentiality, competitor disclosure, jurisdiction etc will be there. 2. Equity contract for 3 sales people - Will be same contract. I will change the names equity numbers. Each sales person will be given sales targets/list of activities. If they are able to meet those, then the equity remains, else it will be revoked. Also terms of exit and equity valuation to be mentioned. 3. Terms and conditions on website - I will provide the key requirements. Will be standard clauses like indemnity, no guarantees, refund etc. I will tell the clauses in plain english.
