After going through the initial requirment suggested it seems that upgrading the application to .Net 3.5 and SQL server will be the best option. It may also be rquired to change the existing database structure dependinding on the fact that if you have any new requirmentsin your system. There will also be need to transport your existing data to new structure if any. Using of AJAX tools will significantly improve perpormance as well as visual appeal of the web site.
