I am an S Corp. I have been a controller, freelance, for over 30 years. I have 50% of my income, with a controller freelance business and I am 1099. They need me to be a W-2 due to possible liability with the state of Minnesota. They want me to sign a confidentiality agreement but I am developing their entire launch framework. I don't want to be sued for using my own models that I built, with other clients. I can't sign the paperwork until someone reviews it. I don't want to hurt myself. So I have these conversations needed:
- a long-term employment/independent conversation - how it effects me in a negative way because my S Corp saves me a lot in taxes
- and a confidentiality agreement conversation/review of contract
- possibly an agreement that would allow us both to work around this and we both benefit greatly from the relationship
